Do I need to register a SAFE or convertible note with the Israeli Companies Registrar?
A SAFE or convertible loan that creates a fixed or floating charge over company assets must be registered with the Companies Registrar (Rasham ha-Chevrot) within 21 days of signing, under Section 179 of the Israeli Companies Law 1999. Unsecured convertible instruments generally do not require Registrar filing until shares are actually issued upon conversion.
