Can a buyer cancel an Israeli property purchase contract after signing?
A real estate purchase agreement in Israel is a binding contract from the moment both parties sign, and the Sale Law together with the Contracts (Remedies for Breach of Contract) Law 5731-1970 govern what happens if one side wants out. The buyer cannot rescind merely because they changed their mind or found a better property. Lawful cancellation requires either a fundamental breach by the seller, for example an undisclosed lien or an inability to deliver clean title, or a contractual condition that has failed, such as a financing or permit contingency expressly written into the agreement. Where a fundamental breach exists, the innocent party gives notice of rescission and the contract unwinds, with restitution of sums already paid.
Most Israeli agreements contain a pitzui mosgam (agreed compensation) clause, typically set at 10% of the purchase price, payable by whichever side breaches. A foreign buyer who signs and then backs out without legal cause will usually forfeit the deposit and may face a claim for that agreed sum, plus the seller's actual losses if they exceed it.
